ZYDUS LIFESCIENCES ANNOUNCED last week its intent to acquire Amplitude Surgical. The company plans to acquire a controlling 85.6% stake in Amplitude Surgical at a price of €6.25 per share, representing an 81% premium over the closing price of €3.46 on March 10, 2025.
The total purchase consideration for the 85.6% stake amounts to €256.8 million. Zydus has entered into exclusive negotiations with PAI Partners (a private equity firm) and the management of Amplitude Surgical, who together hold a 75.4% stake, along with two other minority shareholders, to acquire the 85.6% equity stake. Following the acquisition, Zydus intends to launch a mandatory simplified cash tender offer for the remaining shares at the same price of €6.25 per share, valuing the entire company at €300 million.
