Centre raises 'serious objections' to Vedanta's demerger, NCLT defers hearing

The central government has raised serious objections to Vedanta's demerger and has cited 'concealment and non-disclosure' of details.

Vedanta stated on Wednesday that its legal counsel will continue its submissions during the next hearing before the National Company Law Tribunal (NCLT) scheduled for September 17, 2025, after consulting all parties involved.

Vedanta issued the clarification on Wednesday, reacting to reports in a section of the media that the Ministry of Petroleum & Natural Gas had objected to the proposed demerger of the company before the Mumbai bench of the NCLT, citing alleged 'concealment and non-disclosure' of details. Reports in a section of the media had stated that the ministry told the NCLT that it will not be able to recover dues if the demerger is followed through and that there has been 'concealment of liabilities' and non-disclosure of key details by the company, besides showing 'inflated revenue'. The company clarified that during the NCLT hearing on August 20, its legal counsel was unable to complete his arguments. The NCLT had stated that the matter could not be concluded in a single sitting, and therefore, the hearing was adjourned, the company clarified. The company has stated reports of the demerger being stalled are inaccurate, reiterating its commitment to delivering long-term value to shareholders and stakeholders.
