As part of this initiative, VLSL has proposed a composite Scheme of Arrangement involving the amalgamation of its wholly-owned subsidiary Veranda XL Learning Solutions Private Limited into VLSL, followed by the demerger of its fast-growing Commerce Education Business.

Veranda Learning Solution Limited (“VLSL” or “Demerged Company” or “Transferee Company”) is established in 2018 by the Kalpathi AGS Group has rapidly evolved into a prominent education company. With a strong presence in schools, colleges, test preparation, study abroad, and software upskilling, Veranda has expanded its nationwide reach and impact. The company integrates advanced technology, robust processes, and innovative methodologies to offer high-quality, personalized learning experiences. The equity shares of VLSL are listed on nationwide bourses.

imageVeranda XL Learning Solutions Private Limited (“VXLSPL” or “Transferor Company”) is a wholly owned subsidiary of VLSL and was incorporated to acquire controlling interest in J.K Shah Education Private Limited (JKEPL). JKEPL was engaged in offering of affordable online learning solutions for Chartered Accountancy course through experienced faculty members.
